Retal Urban Development set out to combine with Ajdan Real Estate Development through a share-swap deal that puts capital markets at the center of growth. Retal signed a binding agreement to acquire 47.5% of Ajdan from Al-Fozan Holding and also made offers for the remaining stake from Abdul Qader Al-Muhaidib & Sons and another shareholder, with those offers stated as open through February 28. The share-swap deal was described as valued at SAR 1.86 billion ($496 million). Retal’s shares rose 3.9% on the news, underscoring how investors can react quickly when consolidation creates a clearer path to scale.
The mechanics of the Retal Ajdan acquisition effort relied on issuing new shares rather than cash. In a Tadawul statement, Retal said it will acquire 14.25 million ordinary shares, representing 47.5% of Ajdan’s share capital, in exchange for issuing new ordinary shares to Al-Fozan Holding. Ajdan’s valuation was stated at SAR 1.86 billion, with the value of the shares sold at SAR 881.65 million. For the purposes of the acquisition, Retal’s valuation was set at SAR 8.02 billion using the 90-calendar-day volume-weighted average price from Jan. 20, 2025, to June 1, 2025, at SAR 16.03 per share. Completion was framed as subject to regulatory and corporate conditions, including approvals from the CMA and Tadawul, plus Retal’s extraordinary general assembly.
How a Capital Increase Funds Consolidation
Retal explicitly tied the transaction to a capital increase designed to deliver the new shares needed for the swap. TradeArabia reported Retal submitted a request to the CMA to approve raising capital to SAR 555 million ($151 million) from SAR 500 million ($136 million) through issuing 55 million new shares to Al-Fozan Holding. ZAWYA later reported the CMA approval for an 11% capital increase from SAR 500 million to SAR 555 million ($132 million to $146.7 million), with the planned hike carried out through issuing 55 million ordinary shares to acquire the 47.5% Ajdan stake. This structure shows how a listed developer can pursue consolidation by matching equity issuance with a targeted strategic holding, rather than relying on immediate cash outlay.
The deal narrative also sits within a broader push toward larger players capable of financing multi-year delivery. Construction Week Saudi described consolidation as reflecting Saudi Arabia’s strategy in which government entities and the Public Investment Fund develop core infrastructure such as roads, utilities, parks, and airports, then partner with private companies to build hotels, homes, offices, and retail. The same report noted Ajdan partnered with SEDCO Capital last year on a SAR 1 billion fund developing mixed-use districts within King Salman Park, a government-backed Riyadh project. It also reported Retal won a SAR 5 billion contract from the National Housing Company in November for infrastructure and residential units in Riyadh’s Al-Fursan district, reinforcing the scale of work tied to the ecosystem supporting private-sector delivery.
Retal’s leadership positioned the combination as a route into a broader development mix. Retal’s CEO said the deal would enable access to a diversified portfolio that includes projects such as Ajdan Waterfront and Ajdan Al Ramis, as well as projects under execution including the Fairmont Ajdan Al Khobar Hotel and the Infinity project. The CEO also pointed to Ajdan’s off-plan residential projects comprising more than 5,300 units currently under construction in cooperation with major developers. Still, the path to full control was not guaranteed. Argaam reported Abdulqadir Al Muhaidib & Sons declined to participate in Retal’s offer to acquire 14.25 million Ajdan shares (47.5%) in exchange for issuing 55 million new Retal shares, highlighting how shareholder decisions can shape consolidation outcomes.
